Tri-County Buys Loos Lubes

Tri-County Petroleum Inc. has acquired the automotive division of Loos and Dilworth Inc. and Loos and Dilworth Co. from shareholders Rick Campbell and Gregg Draper. Terms of the transaction were not disclosed.

Loos and Dilworths automotive division distributes Valvoline, 76 Lubricants and ConocoPhillips brand lubricants, including motor oils, transmission fluids, hydraulic oil, greases and gear oil. Denver-based private equity firm KRG Capital Partners owns Tri-County Petroleum Inc., a Pennsylvania-based distributor of industrial and commercial lubricant brands, including ExxonMobil, Castrol, ConocoPhillips, Power Service Products and Texaco. It also distributes Jax brand food grade industrial lubricants.

Loos and Dilworth has a separate chemical division that distributes a variety of products, including specialty surfactants, adhesives and sealants, ink and coatings, soaps and detergents, and tire and rubber elastomers. The acquisition did not include the chemical division, KRG Capital managing director Stew Fisher told Lube Report.

Loos and Dilworths two facilities in Bristol, Pa., and Laurel, Md. provide Tri-County a footprint to expand its commercial and industrial business, Fisher said, noting that Loos and Dilworth serves primarily the passenger vehicle market.

The acquisition is really a nice compliment to our business and to their business, as well as offering the benefit of having the existing Loos and Dilworth management team stay with us.

Campbell, CEO of Loos and Dilworth, and Draper, general manager of the companys Maryland operation, will continue in their current management roles and become shareholders of Tri-County.

The opportunity to partner with Tri-County will provide Loos and Dilworth with the capital and resources necessary to expand our operations and service, said Campbell.

Tri-County serves more than 2,500 customers in a variety of industries, including original equipment manufacturers, off-highway construction, food processing, surface mining and metalworking industries. The distributor serves the mid-Atlantic region, including Pennsylvania, Maryland, northern Virginia, West Virginia, New Jersey, Delaware southern New York and eastern Ohio.
