Clean Harbors to Acquire EnviroServe

Clean Harbors has agreed to acquire environmental and waste management company EnviroServe for $470 million in cash, expanding its network of facilities and services across the United States.

The transaction will see Clean Harbors acquire EnviroServe from an affiliate of One Rock Capital Partners. It is expected to close in the second half of 2026, subject to regulatory approval and other customary closing conditions.

EnviroServe is headquartered in Sandy, Utah, and serves almost 2,500 customers through 40 locations. The company has permits covering operations in 48 states, including 18 10-day transfer facilities, along with solidification facilities and railcar cleaning locations.

Its services include environmental remediation, rail services, industrial cleaning and emergency response. EnviroServe also transports and processes both hazardous and non-hazardous waste. The company employs more than 700 people and operates a fleet of more than 700 vehicles.

Clean Harbors said the acquisition will add capacity to its environmental services operations. The 10-day transfer facilities will increase the company’s ability to handle material through its disposal and recycling network, while EnviroServe’s emergency response resources and railcar cleaning operations will add capabilities to Clean Harbors’ field services business.

The companies also expect opportunities to combine their customer networks. EnviroServe’s customers will gain access to Clean Harbors’ wider range of environmental and industrial services, according to Clean Harbors.

EnviroServe is expected to generate about $250 million in annual revenue and approximately $27 million in adjusted EBITDA. Clean Harbors expects to achieve about $25 million in cost synergies during the first two years following the acquisition. The company said this would result in a post-synergy acquisition multiple of approximately nine times adjusted EBITDA.

Clean Harbors plans to finance the transaction using available cash and additional debt.

The acquisition continues Clean Harbors’ expansion of its environmental services business. The company operates across North America and serves customers in industries including manufacturing, chemicals and refining, as well as government agencies.

For the waste and recycling sector, the transaction adds another group of permitted facilities and transportation assets to Clean Harbors’ existing network. The company also owns Safety-Kleen, which operates used-oil collection and rerefining businesses in North America.
